Most public sector partners in Slovakia are limited liability companies (s.r.o.). With a single shareholder, or two holding half each, the question of who the beneficial owner is has a simple answer. It gets harder when a shareholder is another company or a foreign entity, or when one person's small direct and indirect stakes add up to more than 25%.
We go through the memorandum of association, the list of shareholders and any links to parent or subsidiary companies, and identify the beneficial owners from that. If nobody meets the criteria, the managing directors are entered as senior management, but only once we have shown this. We check the Commercial Register ourselves; from you we mainly need ID documents and ownership details.
Anyone holding at least 25% directly or indirectly, or with the right to appoint or dismiss a managing director. The criteria are set by Section 6a of Slovak Act No. 297/2008.
An s.r.o. whose sole shareholder is also its managing director must still register if it receives payments above the threshold. The duty does not depend on how many shareholders there are.
Entering the parent company instead of the individual at the top of the chain, missing indirect stakes, or entering directors as senior management even though a controlling person exists.
