Code written for you by an outside developer does not automatically belong to your company. Under Slovak copyright law, a work made to order stays with its author, and the company gets only what the contract grants. For a software firm or agency this is about the value of the product, not a formality, and it often surfaces only when an investor comes in.
We draft software development contracts and SLAs with measurable terms, licence terms for your own product, NDAs and freelancer contracts that genuinely transfer rights to the company. We also cover data processing agreements under the GDPR, the roll-out of AI tools and obligations under the EU AI Act. On a retainer, we start by reviewing the chain of rights to your code.
Code written by an employee falls under the employee work rules in Section 90 of the Slovak Copyright Act (No. 185/2015). We still recommend dealing with rights expressly in the contract.
With employees they are possible only within the limits of the Slovak Labour Code: at most one year and with reasonable compensation. With contractors there is more freedom, but the clause must still be proportionate.
Measurable availability, response and fix times by priority, how performance is measured, service credits, exclusions, liability caps and rules for handing over data on termination.
