Contract review and drafting for businesses

Contract review and drafting for businesses in practice

While business runs smoothly, nobody opens the contract. It gets read when something goes wrong, and that is when you find out whether the payment terms, penalty clause, liability for defects and termination rights protect you or the other side. It is better to know before signing exactly what you are agreeing to and which clauses carry risk for your business.

A review gives you a short list of risks, the problem clauses marked in the text and the changes worth asking the other party for. We also draft contracts for a specific deal, framework agreements with simple purchase orders, and templates with guidance for your team. We write contracts in Slovak, in English or in both languages, under Slovak law.

What we help with

  • Review of the other side's contract with proposed amendments.
  • Sale contracts, contracts for work, NDAs, leases and other agreements for a specific deal.
  • Framework agreements with a simple ordering procedure.
  • Contract and terms templates with instructions for use.
  • Penalty clauses, security, acknowledgement of debt and retention of title.
  • Negotiating directly with the other side on larger deals.

Worth knowing

Templates from the internet

A generic template knows nothing about your business model or counterparty. Typical results are a penalty clause that does not hold up or missing provisions on defects.

Risk matters, not length

A short contract with unlimited liability can be more dangerous for a business than a long framework agreement.

Turnaround

We usually review a standard commercial contract of up to about 10 pages within 24 hours on working days. For long or foreign-language contracts we confirm the timing in advance.

Common questions

  • Yes, we review a single contract without a retainer. If new contracts arrive every month, a legal retainer from €500 a month excluding VAT is worth considering.
  • Where a contract is governed by foreign law, we tell you up front whether it is within our competence or whether a firm in that country should be involved.
  • Yes. A set of templates (contract, order form, NDA, terms of business) with short guidance is a common result of the first months on a retainer, and we update it when the law changes.
