You sold part of your stake, the general meeting elected a new board, or the company merged with another. Any of these can change the details held in the Slovak Register of Public Sector Partners. Act No. 315/2016 allows 60 days to notify the authorised person, and the data must stay current for as long as you remain registered.
We start by assessing whether the change affects the beneficial owner details at all. Not every change does: a new managing director in an s.r.o. with a shareholder above 25%, for instance, leaves the beneficial owner unchanged. If it matters, we prepare a new verification and file it. The sooner we hear about a change, the smaller the chance that a further public payment goes through on outdated data.
The authorised person must be informed within 60 days of the change, for example from the date a share transfer is entered in the Commercial Register.
An update is needed where directors are registered as senior management. If the beneficial owner is a shareholder above 25%, a new director changes nothing.
Changes are registered as they happen. They cannot be postponed to the annual verification, which is a separate duty.
